MASTER CLIENT AGREEMENT

Agreement and checkout acceptance

This Master Client Agreement is between Alena Dushenko, an individual operating under the trade name Her Wellth ("Her Wellth"), and the adult purchaser identified in the associated checkout record ("Client"). It combines the Client Services Agreement, website Terms of Service applicable to the transaction, Informed Consent and Medical Disclaimer, and Payment, Cancellation and Refund Policy below into one agreement. The particular program, price, selected extras, payment option, and any clearly disclosed purchase-specific terms displayed at checkout form part of this agreement. When a checkout-specific statement materially differs from a general program description below, the clearly disclosed purchase-specific terms control for that purchase unless mandatory law provides otherwise.

By checking the single required, initially unchecked agreement box before payment and affirmatively continuing, you indicate that you have had an opportunity to access, read, download or save the FULL Master Client Agreement and intend to accept all four parts. The checkout system must retain the exact agreed version and evidence of your affirmative action. This agreement does not on its own grant third-party medical-record access or replace separate health-data consent where legally required.

PART I — CLIENT SERVICES AGREEMENT

1. Parties and agreement

This agreement is between Alena Dushenko, an individual doing business under the name Her Wellth, and the adult Client identified at checkout. This Master Client Agreement and the purchase-specific checkout summary set out the parties' terms. The client confirms acceptance by selecting the single mandatory Master Client Agreement checkbox and affirmatively continuing to payment.

2. Client eligibility

Services are intended for adults 18 and older who are physically located in Texas during individualized service delivery unless another jurisdiction has been approved for lawful service. Pregnant clients cannot enroll; notify Her Wellth promptly if pregnancy occurs during participation. Breastfeeding and postpartum clients may participate when suitable for educational guidance and appropriate medical supervision. Where a condition has been diagnosed, educational work is provided alongside—not instead of—licensed clinical care.

3. Scope of service

Her Wellth delivers individualized nutrition and wellness education based on client-provided intake responses, available laboratory information, food and lifestyle history, and, where the program includes it and data are submitted, consumer wearable trends. Work may include educational discussion of nutrition, movement, sleep, stress, daily routines, supplements when appropriate, practical priorities, self-tracking, and questions to discuss with licensed clinicians. Her Wellth does not diagnose or treat medical or psychiatric conditions, prescribe or adjust medication, provide psychotherapy, independently authorize diagnostic testing, or replace licensed care.

4. Foundational Nutrition Plan

Current advertised price: $150. This remote service includes review of the completed intake and any voluntarily provided existing laboratory records, and delivery of a personalized educational nutrition and lifestyle plan including priorities and a tracking framework. It does not include ongoing messaging, scheduled follow-up appointments or automatically included laboratory testing. Available laboratory testing is entirely optional and, if elected, charged separately. A wearable review is not included unless a qualifying $29 add-on is purchased; where that add-on is purchased, submission of usable device data is required for that deliverable.

5. Her Wellth Complete

Current advertised price: $500. The program runs for 60 days. It includes the Foundational deliverables, four personalized follow-up check-ins and weekday messaging support during the first four weeks, plan adjustments within the originally purchased scope during that support window, and independent implementation over the remainder of the program. It also includes one initial personalized laboratory panel selected and approved by Alena through the available platform, if the client elects testing and a provider can lawfully process the order, plus wearable analysis when applicable and data are provided. Laboratory testing is never required to receive the program. Declining the included testing does not automatically reduce the bundled package price; any different accommodation must be agreed in writing before purchase.

6. Wearable Data Deep Dive

Current advertised standalone price: $69; eligible Foundational add-on: $29; included in Complete when wearable data are available and submitted. The service is an educational review of approximately 14–30 days of client-submitted, usable data from supported devices, such as Oura, WHOOP, Apple Watch, Garmin or Fitbit. Consumer device information is an estimate rather than a medical-grade finding. Foundational clients must upload wearable data only when they purchased the add-on. Complete clients are required to supply it only if they indicated a device at checkout or selected the intention to upload data in intake; if not, the analysis is not performed, and the package price is not automatically reduced.

7. Timing and client cooperation

Intake can be submitted even where a separately required wearable upload is still outstanding; the wearable component then remains awaiting data. The target delivery period for a personalized plan is within 24 business hours after all information needed for that plan has been received and Alena has completed her personal review. The actual checkout representation applicable to the purchase controls any expressly different timeframe. If optional new laboratory tests are elected for the plan, the timing begins when the agreed information needed for the laboratory-informed deliverable is available. Timelines may extend with notice where data are missing, provider systems are delayed, or the scope is mutually changed.

8. Personal review and final approval

Forms, preliminary assessments and software-assisted drafts are for organization and education. Every final client analysis and recommendation is personally reviewed and approved by Alena Dushenko before release. No automatic laboratory-result flagging, automatic diagnosis, automatic medical escalation or automated restriction of a program is promised or performed. Clients should not rely on website-generated material as a substitute for a clinician's assessment.

9. Laboratories and other third parties

All laboratory tests are optional. Available panels and costs shown during the free assessment are preliminary. A laboratory order becomes available only after the applicable purchase, required authorizations, platform eligibility and Alena's review. Testing facilitated through Her Wellth is ordinarily collected at a participating Quest Diagnostics site selected by the client for an available date and time. Quest Diagnostics and the laboratory-ordering platform are independent parties with their own procedures, eligibility, scheduling and privacy terms. Her Wellth does not claim a formal contractual laboratory partnership. Included Complete panel coverage applies only

to the initial tests approved and confirmed as included; additions, collection fees if separately applicable, and future testing are not automatically covered.

10. Payments and support

Payment terms and any installment election must be displayed before payment. For an offered two-payment Complete option, the currently described arrangement is $250 at enrollment and $250 14 calendar days after the personalized plan is delivered, with the second charge expressly authorized at checkout. This is a finite installment plan, not an automatic subscription. The four-week support period begins on the start date confirmed in the welcome message. Messaging support is provided on weekdays through the designated client communication channel; no instant response or continuous monitoring is promised.

11. Your responsibilities

Provide accurate and complete intake information; notify Her Wellth of material changes including pregnancy, new diagnoses, medications and concerning symptoms; use suggestions voluntarily and consistently with your clinicians' instructions; do not stop or modify prescriptions based on Her Wellth materials; submit only information you are authorized to share; protect your account; and use emergency or clinical services rather than waiting for replies when appropriate.

12. No guaranteed outcomes; referrals

Individual responses differ. No diagnosis, cure, weight change, symptom resolution, laboratory change or particular result is guaranteed. If Alena identifies an issue beyond Her Wellth's educational scope during her review, she may communicate a physician referral or suspend the affected work. This is a professional judgment made manually, not an automated triage process. Where services are discontinued, the Refund Policy governs earned versus unearned fees subject to law.

13. Privacy, materials and communication

Information is handled under the Privacy Policy and any specific laboratory authorization. Purchased materials are licensed for personal use only. Standard communications occur by the designated website account or business email; do not use these channels for emergencies. No general request for testimonial, publication or marketing use of identifiable client health information is included in this agreement.

14. Ending services, disputes and legal effect

Either party may request termination by emailing hello.herwellth@gmail.com. Financial adjustment, if any, is handled under the Payment, Cancellation and Refund Policy; mandatory consumer rights are preserved. Texas law governs, subject to mandatory applicable protections. The parties will attempt a good-faith resolution by email; unresolved proceedings may be brought in a court of competent jurisdiction. The agreement is electronically accepted through a recorded affirmative action and need not bear a handwritten signature unless an applicable requirement separately demands one.

PART II — WEBSITE TERMS OF SERVICE

1. Operator and acceptance

Her Wellth is a trade name used by Alena Dushenko, an individual operating from Texas. These website terms govern her-wellth.com, free assessment, accounts, educational content, and purchases. For purchases, these Terms are PART II of this Master Client Agreement and are accepted through its single mandatory checkout checkbox. General access to publicly available content does not itself constitute acceptance of paid-service obligations.

2. Eligibility and availability

The website provides general information. Individualized paid services are currently offered to adults aged 18 or older who are physically located in Texas when receiving services, except where Her Wellth expressly approves another jurisdiction after confirming lawful availability. Her Wellth does not enroll pregnant clients. Postpartum and breastfeeding clients may participate when suitable for educational services and in coordination with their healthcare professionals where appropriate. Clients with diagnosed medical conditions should continue care with their licensed clinicians.

3. Educational information; no medical relationship

All website content and individualized offerings concern nutrition and wellness education. Nothing on this website is medical advice, diagnosis, treatment, psychotherapy, medical nutrition therapy represented as licensed care, or a substitute for a qualified clinician. The free assessment identifies potential educational priorities and preliminary test categories, not diagnoses. Do not use this website for emergencies. Call 911 or seek urgent clinical care when appropriate.

4. Free assessment and account information

The free five-minute assessment requests information you choose to provide and a required email address so your assessment results can be delivered and stored. An assessment does not create a paid client relationship, guarantee services, or place a laboratory order. Creating an account requires accurate information and reasonable protection of login credentials. You are responsible for activity undertaken through your account except where caused by Her Wellth's own misconduct.

5. Programs, prices and changes

The product description and price displayed immediately before checkout define the purchased package. Currently advertised offerings may include Foundational Nutrition Plan ($150), Her Wellth Complete ($500), Wearable Data Deep Dive ($69 standalone), and a $29 wearable add-on for eligible Foundational purchases. Her Wellth may update future offerings and prices; the terms shown and accepted for a completed purchase govern that purchase unless both parties agree otherwise or law requires a change. Taxes or independently charged third-party amounts, if applicable, will be disclosed when known.

6. Laboratory information and external services

Testing is optional in both main programs. Her Wellth Complete includes one individually selected initial laboratory panel within the program price if the client chooses to use that benefit, subject to the scope of the actual order and availability through the ordering platform. Other or repeat tests are not included unless expressly confirmed. Foundational laboratory testing, if elected, is separately priced. Laboratory orders, authorization, specimen collection, clinical interpretation, results reporting and partner terms are administered by independent providers or their platforms. Participating Quest Diagnostics collection locations and appointment availability may vary. Her Wellth does not represent that it has a formal partnership or agency relationship with those providers.

7. Intellectual property and permitted use

Website design, brand assets, original educational text, assessment content and purchased materials are protected by applicable intellectual property laws. You may use purchased personalized materials for your own noncommercial purposes and share them with your clinicians. No permission is granted to resell, republish, distribute to other clients, reverse-engineer proprietary assessment logic, or impersonate Her Wellth.

8. Prohibited conduct and site availability

Do not submit unlawful or misleading material, misrepresent age or eligibility, interfere with site security, scrape or exploit client information, or misuse forms and accounts. We may suspend access reasonably necessary to address misuse or security. Site functionality and third-party services may occasionally be unavailable; we do not promise uninterrupted access.

# 9. Privacy and marketing The Privacy Policy describes our collection, use and sharing of data. Marketing emails are optional and require a separate, unchecked opt-in where requested; service-related messages may still be sent as necessary for an existing transaction. You can unsubscribe from marketing using the link provided or by contacting us.

# 10. Disclaimers and liability We endeavor to provide accurate educational information but cannot guarantee a specific health, financial or other outcome. Consumer wearables and preliminary laboratory estimates are imperfect and may change. To the extent permitted by law, Her Wellth disclaims implied warranties and liability for indirect or consequential losses arising from site use. Nothing in these Terms excludes liability or consumer rights that applicable law does not allow to be excluded, including liability for our own legally actionable conduct.

# 11. Governing law, resolution, and updates Texas law governs these Terms, subject to mandatory consumer protections that may apply. Before starting formal proceedings, contact us at hello.herwellth@gmail.com so we can attempt to resolve a concern. A court of competent jurisdiction will determine any dispute; these Terms do not impose mandatory arbitration. Changes are effective when posted for future website use. Material changes to previously purchased services require notice and any consent required by applicable law.

PART III — INFORMED CONSENT AND MEDICAL DISCLAIMER

## 1. Voluntary educational services I understand that I am purchasing or considering personalized nutrition and wellness education, not medical care. Her Wellth, operated by Alena Dushenko, may provide education based on my intake, nutrition and lifestyle patterns, optional laboratory information and optional consumer wearable data. I understand that any free assessment output consists of preliminary educational suggestions and is not a diagnosis.

## 2. Not medical diagnosis or treatment Her Wellth does not practice medicine, provide diagnosis, prescribe or change medications, provide psychotherapy, offer emergency services, or replace care from my licensed clinician. A discussion of test categories, supplement options, symptoms or wearable trends is educational. Clinical decisions, test authorization, diagnosis and treatment remain with appropriate licensed professionals.

## 3. Eligibility and ongoing medical care I confirm that I am at least 18 years old and meet the disclosed service-location eligibility requirements. I am not pregnant at enrollment and will notify Her Wellth if that changes. If I am breastfeeding, postpartum or have a diagnosed condition, I remain responsible for ongoing care from suitable licensed professionals and for discussing material dietary or supplement changes with them.

## 4. Limitations and potential risks Any nutrition, activity, sleep, supplement or routine change may cause discomfort, intolerance, allergic reactions, medication interactions or other unexpected effects. Incomplete self-reports, unverified wearable estimates or laboratory values without clinical context may be misleading. Delaying appropriate licensed care can be harmful. I can decline any educational suggestion and ask questions or seek another professional opinion.

# 5. Laboratory testing is optional Neither Foundational nor Her Wellth Complete requires laboratory testing. I may upload existing results, choose optional recommended tests, or proceed without laboratory results. If I elect testing, I understand the ordering platform and licensed providers apply their own medical, eligibility, collection, critical-result and privacy procedures. Complete includes only the individualized initial panel expressly confirmed as included; repeat or additional tests may cost extra.

# 6. Wearables are optional except when elected Consumer wearable trends do not establish a diagnosis. For Foundational, wearable upload is required only if I purchase the Wearable Add-on. For Complete, I will submit device data only if I indicate a device at checkout or elect to upload them during intake. When I elect an analysis but fail to supply usable data, that component may be delayed or remain uncompleted, subject to the applicable policy.

# 7. Human approval; no emergency monitoring I understand that Alena personally reviews and approves final educational recommendations before delivery. The website does not offer continuous clinical monitoring, automated emergency detection, automated red-flag triage or urgent medical escalation. Messages and uploaded data are not continuously monitored. For an emergency I will call 911; for concerning but nonemergency symptoms I will promptly contact an appropriate licensed professional.

# 8. Supplements, results and alternatives Supplements are optional and can interact with medication and medical conditions; during breastfeeding or when taking medication, I will discuss relevant products with my doctor or pharmacist. No particular result is promised. Alternatives include declining services, using free educational resources and consulting qualified medical, dietetic, psychological or other licensed professionals.

# 9. My informed acknowledgment By selecting the single mandatory Master Client Agreement checkbox before checkout, I acknowledge that I have read and understood PART III, the educational nature and limits of the service, material potential risks, voluntary participation, and the availability of alternatives. I consent to the purchased educational services. Where law requires separately recorded consent to process sensitive health information, Her Wellth will request it before collecting that information. Specific third-party releases for laboratory records must be separately completed when required.

PART IV — PAYMENT, CANCELLATION AND REFUND POLICY

## 1. Scope and prices This policy applies to purchases from Her Wellth, operated by Alena Dushenko. The package, total price, any taxes and the precise payment schedule shown and affirmatively accepted at checkout govern that order. Currently advertised prices: Foundational Nutrition Plan $150; Her Wellth Complete $500; Wearable Data Deep Dive $69 standalone; eligible Foundational Wearable Add-on $29. Laboratory tests elected under Foundational are separately priced. No charge that is not displayed or authorized at checkout may be presumed.

## 2. Available payment options Foundational and standalone wearable purchases are paid in full unless checkout clearly offers another option. If the client selects the available Complete installment offer, $250 is charged initially and the remaining $250 is charged automatically 14 calendar days after delivery of the personalized plan, under a separately displayed

installment authorization. This is a two-part payment plan, not an automatically renewing subscription. The payment processor may separately provide its own receipts and dispute mechanisms.

3. Commencement and delivery

Personalized work ordinarily begins after successful payment, acceptance of required terms and receipt of sufficient intake material. For Foundational and the personalized-plan component of Complete, the target turnaround is within 24 business hours after required material is available and Alena completes her personal review, subject to any different delivery statement expressly accepted at checkout. Where the client elects optional new laboratory testing as input to the plan, delivery may await agreed results. Missing purchased wearable data can defer that component without preventing submission of the Intake Form.

4. Cancellation before personalized work begins

A client may request cancellation by emailing hello.herwellth@gmail.com. When cancellation occurs before individualized work begins and no irrecoverable third-party charge has been authorized or incurred, the service charge will be refunded. Any lawful, previously disclosed and actually incurred external cost will be separately explained. No sentence in this policy removes rights to refunds or charge disputes provided by law.

5. Cancellation after work begins

If a client cancels after individualized work begins but before delivery, Her Wellth may retain a reasonable, supportable amount for work actually performed and any authorized, nonrecoverable third-party costs; the unearned balance will be refunded as applicable. On request, we will provide an explanation of the calculation. Once an individualized written plan or standalone wearable report is delivered, its completed portion is ordinarily not refundable solely because results differ from hopes or expectations. This does not limit remedies for services not delivered as promised or other mandatory legal rights.

6. Complete support and included laboratory benefit

The Complete program is a bundled service covering individualized planning, an optional included initial personalized panel subject to confirmation through the ordering workflow, four check-ins and four weeks of weekday support within a 60-day program. Declining optional included laboratory testing or choosing not to upload optional wearable information does not itself create a price reduction or cash credit; this allocation is disclosed before purchase. If a promised included benefit is genuinely unavailable through the contemplated workflow, we will discuss a lawful, reasonable remedy rather than treating an unavailable benefit as delivered. Follow-up and additional tests are excluded unless expressly stated.

7. Wearable data and client delays

When a Foundational Wearable Add-on is purchased, usable wearable data are necessary to provide the add-on. For Complete, the wearable component is performed when the client represents that she uses a supported device or elects upload and provides suitable data. Client failure to provide required add-on data delays that component; client delays do not automatically create a refund or extend a support period. If data cannot be provided, contact us promptly to discuss available options under this policy and mandatory consumer rights.

8. Laboratory and other third-party payments

Foundational laboratory charges, where elected, are separately disclosed before the lab checkout. Included Complete initial-panel tests do not carry a separate Her Wellth charge once approved and confirmed as included. Additional tests and any independently disclosed external fees are separate. Ordering platforms, independent clinicians, laboratories and collection facilities may have their own cancellation and refund policies; only actual and authorized external charges are passed on where permitted.

9. Check-ins, support and interruptions

Complete includes four check-ins and weekday messaging during the first four weeks. The remainder of the 60-day program is independent implementation, not continuous messaging support. Check-in times are agreed

through the designated process. If Her Wellth cannot deliver a promised check-in or substantial service component and no suitable rescheduling or replacement is available, an appropriate refund or other legally required remedy will be provided. Support has no emergency-response guarantee.

10. Refund requests, errors and disputes

Email hello.herwellth@gmail.com with the order email, purchase date, purchased program and explanation. We will review requests in good faith and communicate our decision and any calculation; refunds ordinarily go to the original payment method when available. Do not send card numbers by email. Nothing here restricts lawful billing-error reports, card-network chargeback rights, or remedies under applicable law.

11. Changes to this policy

The policy version displayed and accepted at the time of purchase governs that order unless the client separately accepts a later change or the law requires otherwise. Future versions apply prospectively.

Acknowledgment and incorporated privacy information

The following statement is the exact proposed single required checkout checkbox label:

Privacy Policy: https://her-wellth.com/privacy (Lovable must validate or create the exact route and display an accessible link to the current full Privacy Policy before collecting personal data). The Privacy Policy is a separate privacy notice, not a waiver of statutory rights. Obtain any additional affirmative consent required for sensitive data processing at the point of collection. Laboratory Data Authorization remains separate and must be obtained before Her Wellth requests direct access to a client's third-party laboratory records; complete any independent Goodlabs or clinician authorization process.

An unsigned sample of this document does not substitute for implementation: the checkout must ensure the client has an accessible full-text copy and the system retains the exact document version, checkout terms, timestamp and client/order identifier.
